Preity Zinta and industrialist Ness Wadia, both well-known figures in their own right, each control 23% of the shares. The remaining ssharesof 6% are held by Karan Paul, another co-owner.

 

Preity Zinta’s petition, filed under the Arbitration and Conciliation Act of 1996, argues that Burman’s attempt to sell 11.5% of his shares to an external party violates the shareholder agreement. According to the agreement, if any shareholder wishes to sell their stake, they must first offer it to the other existing shareholders. Only if they decline can the shares be sold to an ooutsider.Preity Zinta contends that this critical step has been ignored, leading her to seek a court order to block the sale.
